Welcome to Zentrix.ai (“we,” “us,” or “our”). These Terms of Use (“Terms”) govern your access to and use of our website, mobile applications, and all related services, including our AI stock analyst tool Coach Z, our analytics dashboard, and the Signal Builder (collectively, the “Services”). By using our Services, you agree to these Terms. If you do not agree to these Terms, please do not use our Services.

1. Who We Are

Zentrix.ai is a technology company focused on delivering cutting-edge AI-powered financial analysis and market insights. Our mission is to empower users with advanced tools for stock analysis and market signal creation.

2. Eligibility and Registration

Minimum Age: You must be at least 13 years old (or the minimum age required in your jurisdiction) to use our Services. If you are under 18, you must have your parent or legal guardian’s permission.

Account Registration: To access certain features of our Services (e.g., personalized analysis on Coach Z or creating and publishing signals with Signal Builder), you must register for an account. You agree to provide accurate, complete, and current information during registration. You are solely responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

3. Description of Our Services

Coach Z: An AI-powered stock analyst tool that provides market insights, technical analysis, and trading advice based on user input.

Analytics Dashboard: A platform that offers comprehensive financial and market data analysis to support informed investment decisions.

Signal Builder: A tool that allows you to create custom market signals for your personal use or to publish them for others. When signals are published, they may be subject to additional review and must comply with our content guidelines.

4. Use of Our Services

Permitted Use

Subject to these Terms, you may use our Services only for lawful purposes and in accordance with all applicable laws. You agree to use our Services in a manner that does not:

• Infringe on the rights of others or violate any intellectual property rights.
• Engage in fraudulent, abusive, or harmful activities.
• Circumvent, disable, or otherwise interfere with any security, safety, or operational features of our Services.
• Use automated means to access, collect, or index data from our Services without our express permission.

Prohibited Activities

You may not:

• Modify, copy, lease, sell, or distribute any part of our Services.
• Reverse engineer, decompile, or attempt to extract the source code or underlying components of our Services, except as permitted by law.
• Represent that outputs (see Section 6) were generated by a human if they are generated by our Services.
• Use our Services to develop competing products or to train models that directly replicate our proprietary technology.

5. Content and Intellectual Property

Your Content

When you use our Services, you may provide input (“Input”) and receive generated output (“Output”). Together, these are referred to as “Content.” You are solely responsible for all Content you submit and warrant that you have all necessary rights to do so.

Ownership and License

Your Rights: You retain all rights to your Input. You also own the Output generated for you, subject to the limitations noted below.

License to Zentrix.ai: You grant us a non-exclusive, worldwide, royalty-free license to use your Content solely for providing, maintaining, and improving our Services, for compliance with applicable laws, and for internal analytics and security purposes. If you do not want us to use your Content for purposes such as service improvement or model training, you may opt out through your account settings or by contacting us as provided in Section 10.

Published Signals: For content created using the Signal Builder that you choose to publish, you agree that such published signals will be accessible to all users and may be used by other users in accordance with these Terms. You represent and warrant that any published content does not violate any third-party rights or applicable laws.

Third Party Content

Our Services may display or incorporate content from third parties (“Third Party Content”). Use of such content is subject to the terms and conditions provided by the respective third parties, and we assume no liability for Third Party Content.

6. Accuracy and Use of Output

Our Services, including the AI tools behind Coach Z and Signal Builder, are based on advanced machine learning algorithms that analyze market data and user input. Due to the probabilistic nature of these algorithms:

No Guarantee of Accuracy: Output may not always be accurate, complete, or reliable. You should verify all information and not rely solely on Output for any critical financial decisions or as a substitute for professional advice.

User Responsibility: You are solely responsible for evaluating the accuracy and appropriateness of any Output for your specific use case.

7. Payment and Subscriptions

If you purchase any premium features or subscriptions:

Billing: You agree to provide accurate billing information and authorize us to charge your payment method on a recurring basis. All fees are non-refundable except as required by law.

Service Credits: In certain cases, you may pay in advance for service credits. Any such credits are subject to our Service Credit Terms.

Cancellation: You may cancel your subscription at any time, but payments already made are non-refundable, except as required by law.

8. Third Party Services

Our Services may integrate with or provide access to third-party software, products, or services (“Third Party Services”). Such services are governed by their own terms, and we are not responsible for any content or actions of third-party providers.

9. Disclaimers

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, ZENTRIX.AI DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED OR ERROR-FREE.

YOU ACKNOWLEDGE THAT ANY RELIANCE ON OUTPUT OR CONTENT IS AT YOUR SOLE RISK. YOU SHOULD NOT USE THE SERVICES AS A SOLE SOURCE OF FACTUAL INFORMATION OR AS A SUBSTITUTE FOR PROFESSIONAL ADVICE.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ZENTRIX.AI AND ITS AFFILIATES, SUPPLIERS, AND LICENSORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES (INCLUDING DAMAGES FOR LOSS OF PROFITS, DATA, OR OTHER LOSSES) ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR AGGREGATE LIABILITY SHALL NOT EXCEED THE GREATER OF THE AMOUNT PAID BY YOU IN THE 12 MONTHS PRIOR TO THE CLAIM OR $250.

11. Indemnification

You agree to indemnify, defend, and hold harmless Zentrix.ai, its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or related to your use of our Services or your violation of these Terms.

12. Dispute Resolution

Informal Resolution

Before initiating formal dispute resolution, you agree to first contact our Support team to attempt to resolve any issues informally.

Mandatory Arbitration

If a dispute cannot be resolved informally within 60 days, you and Zentrix.ai agree to resolve any claims through final and binding arbitration administered by a recognized arbitration forum under its rules. You may opt out of arbitration by following the instructions provided in the account settings within 30 days of account creation or any updates to these terms.

Class Action Waiver

You agree that any dispute resolution will be conducted on an individual basis only and not as part of a class, consolidated, or representative proceeding.

13. General Terms

Assignment: You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign our rights or obligations to any affiliate or successor.

Changes to These Terms: We may update these Terms from time to time. If we make material changes, we will notify you in advance (e.g., via email or a notice on our website). Your continued use of the Services constitutes acceptance of the updated Terms.

Governing Law: These Terms shall be governed by and construed in accordance with the laws of the state in which Zentrix.ai is incorporated, without regard to its conflict of laws principles.

Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and Zentrix.ai regarding your use of our Services and supersede all prior agreements and understandings.
